What's the differ between this being released in January 2009 besides it having over 190 cartoons vs 124 cartoons plus bonus features...Is there a reason to upgrade or double dip and buy this set as well....

The additional cartoons are likely the 1990s series and not the original 1964-1980 shorts.
If the bonus features are the same and there's nothing new, the new version sounds good. But if you only want the 64-80 shorts, the old version is probably fine (though I think I read somewhere that there are some framing issues for some shorts?)
